Chairman. The Chairman shall be a director of the Chamber and will preside at all meetings of the Board of Directors. The Chairman shall preside at meetings and have the power to call meetings. The Chairman shall be responsible for leadership of the Board in discharging its powers and duties and shall, in general, supervise and control all of the business and affairs of the Chamber. The Chairman shall perform all duties attendant to that office, subject, however, to the control of the Board of Directors, and shall perform such other duties as on occasion shall be assigned by the Board of Directors.
Vice Chairman. The Vice Chairman shall be a director of the Chamber and will preside at meetings of the Board of Directors in the absence of or request of the Chairman. The Vice Chairman shall have all powers and duties of the Chairman during the Chairman’s absence, disability, or disqualification, or during any vacancy in the position of Chairman, and such other powers or duties assigned by the Chairman, the Board, or the Bylaws. The Vice Chairman shall perform other duties as requested and assigned by the Chairman, subject to the control of the Board of Directors.
Past Chairman. The Past Chairman shall be a director of the Chamber and shall assist in advancing the goals and objectives of the Chamber through the application of knowledge gained through past Board experiences. The Past Chairman shall perform all duties attendant to that office, subject, however, to the control of the Board of Directors, and shall perform such other duties as on occasion shall be assigned by the Board of Directors.
Secretary. The Secretary shall be a director of the Chamber and shall be responsible for keeping the minutes of all meetings of the Board of Directors in the books proper for that purpose, cause notice of all meetings to be given, attest the signatures of the Chamber’s officers and Board members as required, and sign correspondence on behalf of the Board. The Secretary shall perform such other duties as occasionally may be assigned by the Board of Directors.
Treasurer. The Treasurer shall be a director of the Chamber and shall also report to the Board of Directors at each regular meeting on the status of the Chamber’s finances. The Treasurer shall have access to records of all receipts, disbursements, assets, and liabilities of the organization and shall report to the Board on the condition of such records and financial condition of the Chamber from time to time and at least quarterly. Prior to the beginning of the fiscal year, the Treasurer shall cause a proposed operating and capital expenditure budget to be presented to the Board and general membership for approval. The Treasurer shall cause to be prepared and submitted to the Board a financial statement showing the Chamber’s net worth at the close of the fiscal year. Treasurer shall work closely with any paid executive staff of the Chamber to ascertain that appropriate procedures are being followed in the financial affairs of the Chamber, and shall perform such other duties as occasionally may be assigned by the Board of Directors.
VP of Meetings and Events – Coordinate events with corporations when asked for Chamber Participation. Coordinate and oversee Community Welcome Program. Field request for participation and/or donations and determine the amount or level of the Chamber. Book monthly sponsors for general meetings. Arrange caterers for each monthly meeting. Maintain a schedule for Business Before/After Hours. Assist with any other chamber events.
VP of Public Relations – Provide the board with information at each board meeting on how the website is performing and make suggestions to the board if changes are needed. Update and maintain the chamber website according to the wishes of the board. Provide the chamber with graphic design and development of a website to support the needs and wants of membership. Provide the chamber with a way of communicating with membership. Either by website or e-mail communication. Make suggestions to the board on software available to support and provide better communications and or membership support. Install and maintain software approved by the board. Makes sure any business of communications is within the laws and is done in a professional and ethical manner.
VP of Community Service – VP of Community Service will work with incoming non-profit organizations that want to utilize our services. VP of Community Services may include a committee within the Chamber to help with events. VP of Community Service will act as a liaison between organizations that want the Chamber involved.
VP of Education – Plan, develop and implement educational seminars/sessions that will help meet the needs of the Chamber of Commerce members. Review and evaluate the education and development preferences and needs of most Chamber of Commerce members. This can be done by conducting both formal and informal surveys. Prepare and submit an education and development budget for the year. After the budget is approved conduct at least four seminars per year (approximately 1.5 to 2 hours in length per seminar) insuring that we are staying within the budget limits for the year. Keep all receipts and submit them to the Treasurer for reimbursements. Researching different businesses/schools that could offer seminars to the Chamber. Arranging for the location of the seminars, reserving an appropriate room with refreshments and the necessary equipment for the presenters. Communicating well in advance to all Chamber of Commerce members, through the use of flyers and/or e-mail and verbal announcements in meetings, the subject matter, the presenters, and when and where upcoming seminars will be conducted. Attend and participate in the monthly Chamber of Commerce Board meetings. Attend the monthly Chamber of Commerce meeting for all members and be prepared to give a report of your current area’s status (called the Officer’s Reports).
VP of Networking – VP of Networking shall be responsible for monitoring activities of all groups by attending group meetings throughout the year. A new networking group can be established by petition to the VP of Networking and after approval by the Board of Directors. VP of Networking shall supervise the building of such group once approved. VP of Networking shall maintain a waiting list of businesses that desire to participate in a networking group. Any and all grievances by members of the Networking Groups shall be brought to the attention of the group leadership team first. If not resolved, then brought to the attention of the VP of Networking, and finally to the Board of Directors.
VP of Membership – Membership development. Receive and process new applications. Classification of new membership relayed to webmaster and members. Have LCCC Administrative Assistant notify webmaster of new members each month to add to the website (with contact information). New member packages (including Welcome letter, Events & Meeting Guide, etc.). Introduction of new members at each Chamber Meeting. Prepare monthly membership reports. Develop chamber programs to recruit new members. Work closely with LCCC Administrative Assistant to constantly keep membership roaster up-to-date. Follow-up on renewals after the renewal billing (during the ‘grace’ period of one month). Hand-off a “clean” membership accounting to successor and mentor through transition stage.
VP of Economic Development – Responsible for representing the Chamber, its members and interests in matters pertaining to the economic development of the greater Lewisville-Clemmons area. Responsible for representing the Chamber, its members and interests in interactions with the local government agencies of Lewisville, Clemmons, and Forsyth County (including but not limited to Town/Village Planning Boards, Town/Village Councils and the County Board of Commissioners and County Planning Board). Responsible for working with other interested agencies and organizations/businesses in the promotion of the Lewisville-Clemmons area for growth and development. Responsible for developing and maintaining a positive and constructive relationship with governmental agencies within Forsyth County, Lewisville and Clemmons (including but not limited to town/village mayors, council members, town/village managers and planners). Recruit and convene an Economic Development and
Government Relations Committee from the members of the Chamber to aid in the above activities.
